SEC Form D filings: who is raising private capital

Returns new Form D filings from SEC EDGAR, one row per filing with issuer, industry group, state, offering amount, amount sold, minimum investment and the Regulation D exemption it relies on.

A Form D is the notice a company or fund files with the SEC within 15 days after it first sells securities in a private placement under Regulation D. The tool reads the EDGAR daily form index for each business day in the date range and parses the structured XML of every Form D and Form D/A. Most filings come from pooled investment funds, followed by technology, real estate and health care companies.

Filter by industry group, issuer state and minimum offering amount, over a date range of up to 92 days (default the last 7 days). A run with empty input returns the 50 newest filings. The tool returns issuer data only: the names and addresses of directors, officers, promoters and sales agents that Form D also lists are never read, and neither are the issuer's street address and phone number.

What people use it for

  • Sales prospecting. Companies that have just raised money buy software, services and office space. Filter by industry, state and amount and get the new filings every morning with onlyNew set to true.
  • Deal flow and market maps. Follow which funds and startups raise money in a sector, and how large the rounds are.
  • Fund research. Venture capital, private equity and hedge fund launches, with their exemption (for example 3(c)(1) or 3(c)(7)) and amounts.

Price

5 USD per 1 000 filings, plus Apify platform usage.

A run with the default input returns at most 50 filings, so it costs at most 0.25 USD in results. The daily health check on 6 October 2026 shown above returned 3 filings in about 3 seconds, which is 0.015 USD. Filings that are read but filtered out are not charged.

Run it on a schedule

Set onlyNew to true and add the actor to a schedule in Apify Console (for example the cron expression 0 7 * * * for 07:00 every day). The actor remembers what it has already delivered for the same input, in a named key-value store in your own Apify account (nightwave-state-sec-form-d), and each run returns and charges only what is new. The first run returns everything in the selection. A run with nothing new finishes with 0 rows and costs nothing beyond platform usage.

Source and license

The data comes from SEC EDGAR: the daily form index and the Form D XML of each filing. No API key is needed. The tool follows the SEC's rules for automated access: at most 8 requests per second and a User-Agent that says who is asking. The index for a business day is published in the evening, New York time. The SEC does not verify Form D, so amounts are what the filer reported. It is not affiliated with or endorsed by the U.S. Securities and Exchange Commission.

The SEC states that information presented on sec.gov is public information that may be copied or further distributed without the SEC's permission (sec.gov/privacy). Every row carries source and license so you can credit SEC EDGAR. The data describes what issuers have filed; it is not investment advice.
